This experience allows us to effectively represent our wide array of clients including public and private companies, engineers and contractors, homebuilders, landlords and tenants, landowners, developers (shopping center, mixed use, housing, office, industrial, residential, community, and multi-family), retailers, homeowner cooperative and condominium associations, buyers and sellers, and brokers.

LEASING AND LANDLORD TENANT MATTERS
Our attorneys offer comprehensive representation to established and emerging businesses in every aspect of leasing and landlord/tenant relations. We assist landlords and tenants in connection with the structuring of deal points and negotiate and draft ground, retail, restaurant, office and other commercial leases with sophisticated provisions for performance of landlord and tenant work, disbursement of tenant improvement allowances, continuous operating requirements, co-tenancy requirements, non-compete parameters, visual art restrictions and expansion/purchase options. We counsel clients on alternatives for dealing with operational issues. We also advise clients on alternative strategies for expanding, renovating, or disposing of existing commercial lease holdings.
DEVELOPMENT
Our attorneys assist developers with all facets of the development cycle. We represent developers in connection with commercial and residential developments including master planned subdivisions, commercial and retail centers, country clubs, marina condominiums and hotel condominiums. We structure, negotiate and draft construction, development, professional service and program management agreements, including those for infrastructure development, road construction, building construction, amenity construction, tenant improvement work, and hazardous material remediation. We also work closely with the development team to prepare the governing documents, buyer disclosures and filings with the Division of Florida Condominium, as well as compliance and regulatory matters regarding the Florida Condominium Act, Florida Homeowners Association Act, Federal statutes and administrative regulations as they relate to the development of real property, both residential and commercial.
MOBILE HOME LAW
Our attorneys offer comprehensive representation to owners of mobile home parks with respect to adopting and amending prospectuses, addressing operational issues and evicting tenants for rules violations and the non-payment of rent and other fees.
ENTITLEMENTS/GOVERNMENTAL REGISTRATIONS
Our attorneys represent clients in all aspects of the entitlement process, including rezonings, development agreements, school mitigation and capacity enhancement agreements, conditional use permits, zoning variances, environmental and land use permitting, platting, and other entitlement, permit and development issues.
REAL ESTATE FINANCE
Our attorneys are adept at representing clients in all aspects of commercial finance, including term loans, conduit loans, lines of credit, acquisition loans, construction loans, participation agreements and lease hold financing, and securitized loans. We counsel borrowers and lenders in complex financing transactions secured by ground leases, raw land, office buildings, hotels and shopping centers. We participate in all stages of the lending process from negotiating, structuring and drafting all documentation (including loan commitments, loan agreements, general assignments, notes, mortgages/deeds of trust, environmental indemnities, escrow agreements and guaranties), through conducting comprehensive due diligence (including review of title, surveys, environmental reports, operating agreements and leases) and closing the loan.
LAND ACQUISITIONS/DISPOSITIONS
With experience as legal counsel for a top national home builder, a world-famous entertainment company, developers and numerous other clients, our team is well-versed in the representation of buyers and sellers in all phases of the acquisition and disposition of properties including raw land, office buildings, hotels, golf courses and shopping centers. We are also well versed in preparing property profitability projections, structuring, negotiating and drafting letters of intent and purchase and sale contracts, spearheading due diligence and entitlement processes, preparing pro-formas, and coordinating closings.
HOMEBUILDING – SALES/MARKETING/OPERATIONS
With experience acquired working in-house for a large homebuilding company and a local development company, our attorneys provide comprehensive counsel covering all phases of the homebuilding process, including real estate acquisition and development, customer sales contracts, risk management matters, construction contracts, mediation and litigation of construction and sales disputes, marketing, and regulatory compliance including all aspects of the pre-sales and sales launch processes, the Interstate Land Sales Full Disclosure Act, State Regulations, and Licensing requirements. Our attorneys also have extensive experience in preparing all documentation necessary for all phases of homebuilding including reservation agreements, rules and regulations, non-solicitation agreements, frequently asked questions, third party vendor agreements, cooperating broker agreements, rental program agreements, sales contracts, association documents, condominium documents and club documents.
PROPERTY OWNERS ASSOCIATION, COMMUNITY DEVELOPMENT DISTRICT AND CLUBS
Our attorneys have experience in the broad spectrum of legal services relating to the structuring and management of condominium and property owners associations, as well as Community Development Districts and Clubs. Our services include drafting organizational documents and covenants, and providing counsel on matters including covenant enforcement, vendor contract preparation and review, interpretation of governing documents, day-to-day administration and collection of delinquent assessments.
